Strong communication and writing skills and demonstrated transaction experience are essential for success in this role.Duties:Provide legal counsel and guidance on business entity selection and formation.Draft and review corporate governance documents, including bylaws and operating agreements.Negotiate and draft buy-sell agreements and other business transaction documents.Advise clients on mergers, acquisitions, and other corporate transactions.Conduct due diligence reviews for mergers and acquisitions.Handle contract negotiations and drafting for various business transactions.Stay updated on relevant laws and regulations affecting business and corporate transactions.Represent clients in negotiations, mediation, and other legal proceedings related to business transactions.Requirements:Juris Doctor (J.D.) degree from an accredited law school.Admission to the Minnesota State Bar or eligibility for admission by motion.5+ years of experience practicing law in business and corporate transactions.Strong understanding of business entity structures and corporate governance principles.Proven track record of negotiating and drafting business transaction documents.Excellent communication and interpersonal skills.Ability to work independently and as part of a team.Attention to detail and strong analytical skills.Ability to prioritize tasks and manage multiple projects simultaneously.Certifications:Admission to the Minnesota State Bar or eligibility for admission by motion.Skills:Proficiency in legal research and writing.Strong negotiation and contract drafting skills.Ability to analyze complex legal issues and provide practical solutions.Attention to detail and accuracy in document preparation.Excellent communication skills, both verbal and written.Ability to work well under pressure and meet deadlines.Strong organizational and time management skills.Collaborative mindset and ability to work effectively in a team environment.
